spec-editor Pro license
This license is between you (an individual, or the company you act for) and RadianceTeam (“we”, “us”). It covers spec-editor Pro, the paid plugin that adds the delivery team to spec-editor (“Pro”). It sits alongside the Terms of Use. By installing or using Pro you accept it.
In short: Pro is provided as is. It is a tool that you run on your own machines, with your own models and under your own review. We do not guarantee any particular result from it.
1. The open core is separate
The open core of spec-editor is licensed under the Apache License 2.0 and stays that way. This agreement does not change, restrict or replace that license. It covers only Pro.
2. What you are licensed to do
While your subscription is paid, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run Pro on machines you control, for your own work or for your organization’s work, within the limits of your plan, and to use the output it produces.
3. Seats
A seat is one named person who uses Pro. A seat is not tied to one machine: that person may run Pro on several machines they control. A seat cannot be shared by several people, and you cannot reassign it back and forth to get around the number of seats you paid for. You may move a seat to another person when the first person no longer needs it, for example when they leave the team.
4. Plans and repositories
The plan you bought sets the number of seats and the repositories you may use Pro with:
- Solo: one seat, up to five repositories.
- Team: one seat per subscribed person, with no fixed limit on repositories, subject to fair use.
- Studio: five team seats included; extra seats can be added. Seats for a studio’s clients are coming soon and are not part of the license today.
A repository is a separate git repository that holds a spec-editor model. “Fair use” means ordinary use for your own team’s projects, not use on behalf of a large number of outside parties. Current prices and details are on the pricing page.
5. What you may not do
You may not:
- copy, distribute, publish, rent, lease, sell or sublicense Pro, or let anyone outside your seats use it;
- offer Pro, or functions of it, to others as a service;
- remove or change license notices in Pro;
- share, publish or reuse your license key outside your seats;
- reverse engineer Pro or try to get around the license check, except where the law gives you that right despite this restriction.
6. Your output and your models
The model files, requirements, plans, code and other output that you create with spec-editor and Pro belong to you. We claim no rights in them. The model files are plain files in your repository, and you can keep using and editing them with the open core after this agreement ends. Language models you connect to Pro are your own relationship with their providers.
7. License key and verification
After purchase you receive a license key through Gumroad. You activate it on your machine. The plugin verifies the key from your machine against Gumroad. This needs network access to Gumroad. Keep the key private. If you think it has leaked, write to info@radianceteam.com.
8. Term, renewal and what happens when the subscription ends
The license lasts for the paid period of your subscription and renews with it. When the subscription ends, because you cancelled and the paid period has run out, because a payment failed, or because the license is terminated, the plugin stops working. The open core keeps working. Your model files remain your plain files in your repository.
9. Early access
Pro is in early access. Features, plans, limits and prices may change. Pro may contain defects, and we make no service-level commitment. Anything the website calls “coming soon” is not part of the license.
10. Updates and support
During the paid period you may use the versions of Pro that we make available to you. Support is by e-mail at info@radianceteam.com. Studio includes priority support. We do not promise response times.
11. Provided as is, with no guarantee of result
Pro is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee any particular result. In particular we do not promise that the requirements, plans, code or tests that Pro produces are correct, complete or fit for your purpose, that a task will be finished, or that it will be finished within a certain time or cost. AI models can produce wrong results, and the cost of the models you connect is yours. You are responsible for reviewing what Pro produces and for the commands and code it runs on your machines.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost business. Our total liability related to Pro is limited to the amount you paid for Pro in the 12 months before the event that gave rise to the claim. Nothing in this agreement limits liability that cannot be limited by law.
13. Termination for breach
If you break this agreement, we may terminate your license after telling you by e-mail, and after giving you a reasonable chance to fix the breach where it can be fixed. You may end this agreement at any time by cancelling your subscription. Sections 1, 6, 8, 11, 12 and 14 continue after termination.
14. Governing law and venue
This agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Disputes will be brought exclusively in the state or federal courts located in New York, New York, USA. If you are a consumer, any mandatory consumer-protection law of the place where you live still applies to you.
