Terms of Use

Effective

These terms cover your use of the spec-editor website and of spec-editor Pro, the paid plugin. By using the website, or by buying or using spec-editor Pro, you agree to them. If you do not agree, do not use them.

1. Who we are

The website and spec-editor Pro are operated by Fox Games LLC, 100 Duffy Avenue, Hicksville, NY 11801, USA (“we”, “us”). You can reach us at info@radianceteam.com.

2. The open core

The open core of spec-editor is free and is published on GitHub under the Apache License 2.0. That license, and not these terms, governs your use, copying and modification of the open core. Nothing in these terms limits the rights the Apache License 2.0 gives you.

3. spec-editor Pro

spec-editor Pro is a plugin for the open core. Your right to install and use it is set out in the spec-editor Pro license agreement. If these terms and that agreement conflict about the plugin itself, the license agreement applies.

4. Early access

spec-editor Pro is in early access. Self-service purchase is not open yet, and these terms are written for the moment it opens. While Pro is in early access:

  • features, plans, limits and prices may change before purchase opens and afterwards, for new purchases and for renewals, as described in section 5;
  • we make no service-level commitment, and Pro may contain defects;
  • anything the website describes as “coming soon” is not available and is not promised for a date.

5. Subscriptions, billing and renewal

Pro is sold as a subscription, monthly or yearly. A year costs ten months of the monthly price. Current plans and prices are on the pricing page.

Payment, invoicing, taxes and subscription management are handled by Gumroad, which acts as the reseller and merchant of record. Your purchase is also subject to Gumroad’s own terms. We do not receive your card details. After purchase you receive a license key.

A subscription renews automatically at the end of each paid period, at the price then shown to you by Gumroad, until you cancel. If we change a price, the change applies to renewals after we have told you through the e-mail address on your purchase or through Gumroad.

6. Cancellation and refunds

You can cancel at any time through Gumroad. Cancelling stops future renewals. The subscription stays active until the end of the period you have already paid for. We do not refund part of a paid period.

You can ask for a refund within 7 days of your first payment, as described in the refund policy. Renewals are not refunded.

7. Acceptable use

You agree not to:

  • use the website or Pro to break the law or the rights of others;
  • share your license key or let people outside your plan use Pro;
  • copy, resell, sublicense or redistribute the Pro plugin, as the license agreement describes;
  • try to disrupt the website, or to get around technical limits of the website;
  • use Pro in a way that breaks the terms of the model providers you connect to it.

We may suspend access to Pro if you break this section, as section 13 describes.

8. Your content stays yours

Your code, your requirements, your model files and everything spec-editor produces on your machines belong to you. Pro runs on your own machines. We do not receive your code or requirements, and we claim no rights in them.

9. Model providers

Pro works with model subscriptions or API tokens that you hold yourself, for example a Claude Code subscription or an API key. Your relationship with those providers is between you and them. Their terms, prices, limits and availability are not ours. We do not sell tokens, and we are not responsible for what a provider charges or does.

10. Intellectual property

The spec-editor name, the website, its text, design and images belong to Fox Games LLC or its licensors, apart from the open core, which is licensed under Apache-2.0. These terms give you no right to use our name or marks other than to refer to the product truthfully.

If you send us feedback, you allow us to use it to improve the product without owing you anything.

11. Disclaimers

The website and spec-editor Pro are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that Pro will be uninterrupted, error-free, or suitable for your project. The output of AI models can be wrong. You are responsible for reviewing what Pro produces before you rely on it.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost business, arising from your use of the website or of Pro. Our total liability to you for any claim related to Pro is limited to the amount you paid for Pro in the 12 months before the event that gave rise to the claim. Some places do not allow these limits, and then they apply only as far as the law permits. Nothing here limits liability that cannot be limited by law.

13. Termination

You can stop using the website or Pro at any time. We may suspend or end your access to Pro if you break these terms or the license agreement, or if the law requires it. When access ends, sections that by their nature should continue (intellectual property, disclaimers, liability, governing law) continue.

14. Changes to these terms

We may change these terms. We will publish the new version on this page with a new effective date. For a change that matters to a paid subscription, we will also tell you at the e-mail address on your purchase. If you continue to use Pro after the effective date, the new terms apply. If you do not agree, you can cancel as described in section 6.

15. Governing law and venue

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Disputes will be brought exclusively in the state or federal courts located in New York, New York, USA. If you are a consumer, any mandatory consumer-protection law of the place where you live still applies to you.
